Terms of Service

These Terms of Service (the "Terms") form a binding agreement between Tecnia Labs LLC, a Wyoming limited liability company ("Furonto", "we", "our", or "us"), and you. They govern your access to and use of the Furonto platform and any product line offered under the Furonto brand (currently Furonto Gastro, our restaurant reservation product, and any other vertical we may launch from time to time), including our consumer mobile and web applications, our Business-facing dashboard, our public website, our Business portal where you manage your subscription and billing, and all related APIs, content, and services (collectively, the "Service").

By creating an account, placing a Reservation, purchasing a subscription, or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

These Terms include a binding arbitration clause and class-action waiver in Section 18. Please read it carefully — it affects how disputes between you and Furonto are resolved.Miscellaneous

1. Definitions


  • "Customer" means an individual who uses the Service to discover Businesses and place Reservations or other end-user transactions as an end consumer.
  • "Business" means a business entity that uses the Service to publish availability, accept Reservations, and manage operations through the Furonto dashboard.
  • "Subscriber" means a Business (or its authorized representative) that has purchased a paid subscription to the Service.
  • "User" means any Customer, Business, or other person who accesses the Service. A given person may be both a Customer and a Business user under separate accounts.
  • "Reservation" means a booking made by a Customer at a Business through the Service, including any pre-authorization, deposit, or guarantee associated with it. Depending on the product line, a Reservation may correspond to a restaurant table booking, an event seat, an appointment, or an analogous slot.
  • "Contenido" significa cualquier texto, imagen, foto, logo, menú, comentario, mensaje u otro material enviado, cargado o transmitido a través del Servicio por un Usuario.

2. Eligibility


You may use the Service only if you:

  1. Are at least 18 years old, or the age of legal majority in your jurisdiction, whichever is higher;
  2. Have the legal capacity to enter into a binding contract;
  3. Are not barred from using the Service under applicable law; and
  4. If acting on behalf of a Business, are duly authorized to bind that Business to these Terms.

The Service is offered from the United States. If you access it from another jurisdiction, you do so on your own initiative and are responsible for compliance with local laws.

We may restrict availability of certain features by country, currency, or payment provider at our discretion.

3. Accounts


3.1 Account creation

To use most features of the Service, you must create an account.

You may register using an email and password, or sign in through a supported third-party identity provider (currently Google, Apple, and Facebook).

By signing in through a third party, you authorize us to receive the basic profile information that provider supplies.

3.2 Account information

You agree to provide accurate, current, and complete information when creating an account, and to keep that information updated.

Customers may be asked to provide a name, email, phone number, locale, and optionally a profile photo and gender.

Businesses will additionally provide company name, address, contact details, tax identifiers, and billing information through the Business portal.

3.3 Security

You are responsible for safeguarding your credentials and for all activity that occurs under your account.

You must notify us promptly at the support contact in Section 24 if you suspect unauthorized access.

We are not liable for any loss arising from your failure to protect your credentials.

3.4 One person per account; team members

Each individual Customer account is for personal use only.

Business accounts may invite additional team members under role-based access ("Owner", "Manager", "Staff").

The Business is responsible for all actions taken by its invited team members and for revoking access when their role ends.

4. Customer Service


4.1 What we do, and what we do not do

Furonto provides a technology platform that allows Customers to discover Businesses, view availability, and submit Reservation requests.

Furonto is not the Business, does not own, operate, or supervise any Business listed on the Service, does not provide the underlying goods, services, food, beverages, or other hospitality offered by the Business, and is not a party to the transaction between a Customer and a Business.

All goods, services, food, beverage, hospitality, accessibility, and on-site experience are the sole responsibility of the Business.

4.2 Reservation lifecycle

When you submit a Reservation, the Service holds the requested time slot for you for a short period (currently up to five minutes) while you complete the funnel.

Reservations then move through statuses including "pending", "confirmed", "completed", "cancelled", "no-show", and (for events) "pending reschedule".

You will receive in-app notifications and emails for material status changes.

Notifications are localized to your selected language.

4.3 Modifications and cancellations by Customers

You may cancel or edit certain details of a Reservation (date, time, party size, notes) through the "My Reservations" area, subject to the Business's policies and the cancellation window the Business has configured.

The Business (not Furonto) sets the cancellation window, deposit amount, and refund eligibility.

After the cancellation window closes, deposits and pre-authorized guarantees may be non-refundable, and no-shows may forfeit deposits.

4.4 Modifications and cancellations by Businesses

A Business may modify availability, close service, archive a service type, or reschedule an event. When this occurs:

  • For Reservation-blocking changes, the Business is required to handle conflicts before the change takes effect.
  • For closures or schedule reductions handled through the Service's "cascade" workflow, affected Reservations are automatically cancelled and any pre-authorized payment released or refunded, and you will receive an explanation note.
  • For event reschedules, you will receive a reschedule proposal with a deadline. You may accept the new date (your Reservation moves to the new date with seat-priority preserved) or decline (you receive a full refund). If you do not respond by the deadline, the proposal is auto-declined and refunded.

4.5 No-shows and late arrivals

Businesses may configure a tolerance window for late arrivals. If you fail to arrive within that window, your Reservation may be marked "no-show" by the Business and any associated guarantee or deposit may be retained per the Business's policy.

Repeated no-shows may, at our discretion, result in suspension or termination of your account.

4.6 Add-ons, events, and special pricing

Some Reservations include optional add-ons (such as menu items, beverages, or experiences) priced per person or per Reservation.

Events and special schedules may carry distinct pricing that overrides the Business's regular pricing.

The price displayed at confirmation is the price charged.

4.7 Geolocation

If you grant location permission, the Service uses your approximate location to sort Businesses by distance and to power address autocomplete. You may revoke this permission at any time in your device settings.

5. Payments by Customers


5.1 Payment processors

Customer payments are processed by third-party payment providers, currently Stripe and MercadoPago, depending on Business configuration and your region.

Furonto does not store full payment card details; tokens and references are held by the relevant processor.

5.2 Authorizations, captures, and refunds

When you make a Reservation that requires a guarantee or deposit, your payment method is typically pre-authorized at the time of Reservation. The amount may be captured (charged) when the Reservation is confirmed, completed, or in the event of a covered no-show, in accordance with the Business's policy.

If the Reservation is cancelled within the free-cancellation window, the pre-authorization is released or refunded. Settlement, dispute, and refund timing are governed by your payment provider; Furonto is not responsible for delays attributable to your card issuer or bank.

5.3 Chargebacks

If you initiate a chargeback for a charge that we determine was validly captured under the Business's published policy, we may suspend your account pending resolution and recover the disputed amount and associated fees from you.

5.4 Taxes

Prices may be shown inclusive or exclusive of taxes depending on the Business's configuration and your jurisdiction.

You are responsible for any taxes imposed on you by law that are not collected at the point of sale.

6. Business Service


6.1 What the Business Service includes

If you are a Business, the Service gives you access to a dashboard through which you can, among other things:

  • Configure your company profile, location, category (e.g., cuisine type), contact details, and slug;
  • Design layouts and resources (such as tables, seats, counters, or other product-line-specific resources), set capacities, and arrange floor plans;
  • Define regular schedules, special schedules (closures, events, holidays), service types, and events;
  • Receive, confirm, modify, cancel, and check in Reservations;
  • Configure cancellation policies, lead times, tolerance windows, and guarantee amounts;
  • Connect a payment provider (Stripe or MercadoPago) via OAuth, test the connection, and disconnect;
  • Manage team members and roles;
  • View an aggregated client list and Reservation analytics;
  • Configure third-party analytics and conversion-tracking integrations on your listing;
  • Upload and manage company and service-type images.

6.2 Subscription and activation

Use of the Business Service requires an active Subscription Plan purchased through the Business portal (Section 7).

If your subscription becomes inactive — for non-payment, cancellation, churn, or any other reason — write operations on the Business dashboard will be blocked, and your listing may be unpublished from the public discovery surface.

Read access and data export rights subject to Section 14 will remain available for a reasonable period as described in Section 16.

6.3 Business obligations

You represent and warrant that:

  1. The information you publish about your operation is accurate and not misleading;
  2. You have all licenses, permits, and authorizations required to operate in your jurisdiction and in the product line you offer through the Service;
  3. You will honor confirmed Reservations, or apply your published cancellation/no-show policies fairly and consistently;
  4. You will set cancellation windows, deposits, and guarantees that are lawful in your jurisdiction and clearly disclosed to Customers before payment;
  5. You will not discriminate against Customers on any basis prohibited by applicable law;
  6. You will use Customer contact details and other personal data you receive through the Service solely to fulfill Reservations and as permitted by Section 12 and applicable law, and not for unrelated marketing without separate, lawful consent;
  7. You will keep your payment provider account in good standing;
  8. You will comply with all anti-spam, telemarketing, and consumer-protection laws when contacting Customers.

6.4 Reservation integrity controls

The Service enforces certain integrity rules to protect Customers. These include blocking changes that would orphan confirmed Reservations, cascade-cancelling Reservations with refund obligations when you reduce capacity or close service, and triggering the event-reschedule customer-choice flow described in Section 4.4. You agree to operate within these controls and not to circumvent them.

6.5 Payment processing for Businesses

When a Business connects a payment provider, the contractual relationship for payment services is between the Business and that provider (Stripe Connect or MercadoPago).

The Business is responsible for accepting the provider's terms, providing required tax and identity information, complying with the provider's disclosure and dispute rules, and paying applicable processing fees. Furonto facilitates the connection but is not the merchant of record for Customer payments to the Business.

6.6 Analytics integrations

f you enable third-party analytics or conversion-tracking integrations on your profile, you are responsible for ensuring that the Customer-facing disclosures and consents required by applicable privacy and ePrivacy law are in place.

You authorize us to inject the relevant tracking snippets on pages associated with your listing while the integration is enabled.

7. Subscriptions, Billing, and the Business Portal


7.1 Purchasing a Subscription Plan

Subscriptions are purchased through the Business portal. You select a tier (e.g., Solo, Team) and a billing cycle (monthly or annual).

Pricing displayed at checkout is the price charged, exclusive of taxes unless otherwise stated.

7.2 Automatic renewal

Subscriptions renew automatically at the end of each billing cycle at the then-current rate unless cancelled at least one billing day before renewal through the Business portal.

By purchasing, you authorize Furonto and its payment processor to charge your stored payment method for each renewal until you cancel.

7.3 Tier changes

You may upgrade or downgrade your tier through the Business portal.

Upgrades take effect at the start of the next billing cycle unless we indicate otherwise at checkout.

Downgrades take effect at the start of the next billing cycle, and may reduce features (for example, allowed team-member seats); you are responsible for reconciling team membership before the downgrade takes effect.

7.4 Invoices and payment methods

Invoices are generated at each renewal and made available in the Business portal at "/my/subscriptions".

Saved payment methods are stored as tokenized references with your payment provider; we retain only the provider reference and a masked identifier (e.g., last four digits).

7.5 Failed payment

If a renewal payment fails, we will attempt re-collection per the provider's rules and notify you.

If payment cannot be collected within a reasonable retry window, your subscription will move to a churn state and your Business dashboard write access will be suspended as described in Section 6.2.

7.6 Refunds

Except where required by law, subscription fees are non-refundable, and partial-period refunds are not provided on cancellation.

Refunds may be offered at our discretion for proven Service outages of material duration.

7.7 Automatic provisioning

When a Subscription Plan is purchased, the Business portal automatically provisions a corresponding Furonto application instance and links it to the Subscriber's account, including the Owner membership and seat allotments.

You authorize this provisioning and acknowledge that the configuration data necessary to link your subscription to your application instance is transmitted between the portal and the application.

7.8 Tax information

You agree to provide accurate tax identifiers and billing addresses.

We may calculate and collect taxes based on the information you provide; you are responsible for the correctness of that information.

7.9 Company contacts

Where a company has multiple authorized contacts in the Business portal, those contacts may have visibility into the company's subscriptions and invoices in accordance with the access rules we apply to grouped contacts.

The Subscriber is responsible for managing which contacts are added.

8. Support and Helpdesk


We provide support through our helpdesk, accessible through the Business portal and our public help form.

We make commercially reasonable efforts to respond within typical business-day timeframes.

We do not commit to a specific response or resolution SLA unless one is agreed in writing for your plan.

Support requests may be answered, ranked by priority, routed to a team, and closed at our reasonable discretion.

We may collect after-ticket satisfaction feedback to improve the Service.

9. Acceptable Use


You agree not to, and not to permit any other person to:

  1. Use the Service for any unlawful purpose or in violation of any applicable law;
  2. Submit false, deceptive, or impersonating information;
  3. Make speculative, fraudulent, or duplicate Reservations; book Reservations for resale; or "scalp" Reservations;
  4. Use bots, scrapers, crawlers, or other automated means to access the Service except through interfaces and rate limits we publish;
  5. Reverse engineer, decompile, or attempt to extract source code or models from the Service;
  6. Interfere with, disrupt, probe, overload, or attempt to bypass any security or rate-limiting mechanism;
  7. Use the Service to send unsolicited commercial messages or to harvest contact information;
  8. Upload Content that infringes intellectual-property rights, is defamatory, obscene, or unlawful, or that contains malware;
  9. Misuse the Reservation-integrity controls, including by attempting to circumvent cancellation, no-show, or refund flows;
  10. Resell, sublicense, or use the Business dashboard to provide a competing platform to third parties.

We may investigate suspected violations and may suspend or terminate accounts that we reasonably believe are violating these Terms.

10. User Content


10.1 Your Content

You retain ownership of Content you submit to the Service (for example, company photos, logos, menu items, service-type images, notes, and messages).

You grant Furonto a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, adapt (e.g., to generate thumbnails and optimized variants via CDN), distribute, and display your Content as needed to operate, promote, and improve the Service. This license terminates when you delete the Content, except where retention is required by law or for legitimate operational reasons (such as backups, audit trails, or completed-Reservation records).

10.2 Representaciones

You represent and warrant that you own or have all necessary rights in your Content, and that your Content does not violate any law or any third party's rights, including intellectual-property, privacy, and publicity rights.

10.3 Removal

We may, but are not obligated to, review, refuse, edit, or remove any Content at our discretion, including Content that we believe violates these Terms.

11. Intellectual Property


The Service, including the Furonto mobile and web apps, the Business dashboard, the Business portal, our APIs, designs, software, logos, and all related materials, is owned by Tecnia Labs LLC and its licensors and is protected by intellectual-property laws.

We grant you a limited, revocable, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

No other rights are granted by implication, estoppel, or otherwise.

The "Furonto" name and logo (including product-line variants such as "Furonto Gastro") are our trademarks; you may not use them without our prior written consent, except for nominative reference as permitted by law.

12. Privacy


Our collection, use, sharing, and retention of personal data, the rights you have over your data, and the categories of third parties that help us provide the Service, are described in our Privacy Notice, which is incorporated into these Terms by reference. By using the Service, you acknowledge that you have read the Privacy Notice.

When a Customer places a Reservation, we share with the relevant Business the information necessary to fulfill it. Businesses are independent controllers of that data for fulfillment and for legitimate post-Reservation communication, and must use it only as permitted by Section 6.3(6) and applicable law.

13. Notifications and Communications


By creating an account, you agree to receive transactional communications from us (Reservation confirmations, status changes, payment receipts, security and account notices, subscription invoices). These communications are part of the Service and you cannot opt out of them while you have an active account.

You may opt out of non-transactional marketing communications via the unsubscribe mechanism in those messages or through your account settings.

14. Business Data and Customer Data


The data a Business generates or receives through the Service (its layouts, schedules, policies, Reservation history, and aggregated client list) is made available to that Business through the dashboard.

The Customer's identity data shared with the Business under Section 12 may be used by the Business only to fulfill the Reservation and as permitted by applicable law.

On termination of a Business's subscription, the Business may request export of its data within a reasonable period as described in Section 16.

15. Third-Party Services


The Service interoperates with third-party services that are not controlled by Furonto. These include the payment providers we support (currently Stripe and MercadoPago) and the third-party identity providers we federate with for sign-in (currently Google, Apple, and Facebook), as well as cloud infrastructure, communications, mapping, analytics, and other vendors that we may engage to operate the Service.

Your use of any third-party service is governed by that service's own terms and privacy policies. Furonto is not responsible for the acts, omissions, or terms of any third-party service.

A current list of the third parties that process personal data on our behalf is maintained in our Privacy Notice.

16. Suspension and Termination


16.1 By you

You may close your Customer account at any time through account settings. A Subscriber may cancel a Subscription Plan from the Business portal effective at the end of the current billing cycle.

16.2 By us

We may suspend or terminate your account or any part of the Service, with or without notice, if we reasonably believe you have violated these Terms, created risk or legal exposure for us, or for prolonged non-payment. We may also terminate or modify the Service in whole or in part with reasonable notice for legitimate business reasons.

16.3 Effect of termination

On termination: (a) your right to access the Service ends; (b) outstanding obligations (including unpaid fees and post-cancellation refund duties to Customers) survive; (c) confirmed future Reservations may, at our discretion, be cancelled with notice to affected Customers and refund handling per Business policies; and (d) data is retained or deleted in accordance with Section 12.6.

16.4 Survival

Sections 1, 5.3, 7.6, 9, 10.1 (license to retained Content), 11, 12 (and the Privacy Notice it incorporates), 16.3, 17, 18, 19, 20, 21, 22, 23, and 24 survive termination.

17. Disclaimers


THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WITHOUT LIMITING THE FOREGOING, FURONTO DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; THAT AVAILABILITY DISPLAYED BY ANY BUSINESS IS GUARANTEED; THAT ANY BUSINESS WILL HONOR A RESERVATION; OR THAT PAYMENTS WILL SETTLE WITHIN ANY PARTICULAR TIMEFRAME.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO PART OR ALL OF THIS SECTION MAY NOT APPLY TO YOU.

18. Binding Arbitration and Class-Action Waiver


PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES YOU TO ARBITRATE DISPUTES WITH FURONTO AND LIMITS THE MANNER IN WHICH YOU CAN SEEK RELIEF.

18.1 Agreement to arbitrate

Except as set out in Section 18.4, you and Furonto agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service ("Dispute") will be resolved exclusively by final, binding individual arbitration, and not in court.

18.2 Arbitration administrator and rules

Arbitration will be administered by JAMS under its applicable rules, or, if both parties agree in writing, by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The rules are available at jamsadr.com and adr.org. The arbitrator's decision will be final and binding and may be entered as a judgment in any court of competent jurisdiction.

18.3 Procedure, fees, and seat

Arbitration will be conducted in English. The seat of arbitration is Cheyenne, Wyoming, USA, although you may participate by telephone or video, and in-person hearings (if any) may be held in your county of residence on request. Filing and administrative fees that exceed what you would pay to file the same case in court will be paid by Furonto where required by the administrator's consumer rules. Each party bears its own attorneys' fees unless the arbitrator awards otherwise under applicable law.

18.4 Excepciones

Either party may bring an individual claim in small-claims court if the claim qualifies. Either party may also seek injunctive or equitable relief in court to protect intellectual-property rights pending arbitration of any underlying merits.

18.5 Class-action waiver

YOU AND FURONTO AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, REPRESENTATIVE, OR PRIVATE-ATTORNEY-GENERAL ACTION. The arbitrator may not consolidate claims of multiple persons and may award only individual relief. If this waiver is held unenforceable for any reason as to a particular claim, then that claim alone will proceed in court and all other claims remain in arbitration.

18.6 30-day opt-out

You may opt out of this Section 18 by sending a signed written notice to the address in Section 24 stating that you opt out of arbitration, including your name, address, account email, and the date you first accepted these Terms, within 30 days of first accepting these Terms. Opting out will not affect any other provision of these Terms.

18.7 Federal Arbitration Act

These Terms evidence a transaction in interstate commerce, and the Federal Arbitration Act, 9 U.S.C. § 1 et seq., governs the interpretation and enforcement of this Section 18.

18.8 Severability

If any part of this Section 18 other than the class-action waiver is found unenforceable, that part will be severed and the rest will remain in effect. If the class-action waiver in Section 18.5 is found unenforceable in a proceeding in which class or representative claims are asserted, the entirety of Section 18 will be void as to that proceeding.

18.9 Survival

Section 18 survives termination of your relationship with Furonto.

19. Limitation of Liability


TO THE MAXIMUM EXTENT PERMITTED BY LAW:

(a) IN NO EVENT WILL FURONTO, ITS AFFILIATES, OR ITS LICENSORS BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, OR DATA, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, WHETHER BASED ON CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER THEORY, AND WHETHER OR NOT WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

(b) FURONTO'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE IN ANY 12-MONTH PERIOD WILL NOT EXCEED THE GREATER OF (i) THE AMOUNTS YOU PAID TO FURONTO IN THAT 12-MONTH PERIOD; AND (ii) ONE HUNDRED U.S. DOLLARS (USD $100).

(c) NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED BY LAW (FOR EXAMPLE, LIABILITY FOR GROSS NEGLIGENCE, FRAUD, OR WILLFUL MISCONDUCT, WHERE NON-WAIVABLE).

These limits apply on an aggregate basis across all of your claims and accounts, and they apply even if any limited remedy fails of its essential purpose.

20. Indemnification


You agree to defend, indemnify, and hold harmless Furonto, its affiliates, officers, directors, employees, agents, and licensors from and against any claim, demand, loss, liability, damage, fine, penalty, or expense (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your Content; (c) your violation of these Terms or applicable law; (d) for Businesses, your operation of your company and your fulfillment (or failure to fulfill) Reservations; and (e) your violation of any third party's rights.

21. Governing Law and Venue


These Terms are governed by the laws of the State of Wyoming, U.S.A., without regard to its conflict-of-laws principles, and, where applicable, by the Federal Arbitration Act. Subject to Section 18, the exclusive venue for any Disputes not subject to arbitration is the state and federal courts located in Laramie County, Wyoming, and you consent to personal jurisdiction in those courts.

The United Nations Convention on Contracts for the International Sale of Goods does not apply.

22. Changes to the Service and to These Terms


We may modify the Service, including adding, removing, or changing features, at any time. We may also modify these Terms. If we make material changes, we will notify you by email or through an in-app or portal notice and update the "Last updated" date above. Material changes become effective no earlier than the date posted (or such later date specified in the notice). Your continued use of the Service after the effective date constitutes your acceptance of the updated Terms. If you do not accept the changes, you must stop using the Service and may cancel your account or subscription as described in Section 16.1.

23. Miscellaneous


  • Entire agreement. These Terms, together with the Privacy Notice and any plan-specific or order-form terms agreed in writing, constitute the entire agreement between you and Furonto regarding the Service and supersede any prior agreements.
  • Severability. If any provision is held invalid or unenforceable, the remainder will continue in effect, and the invalid provision will be reformed to the minimum extent necessary.
  • No waiver. Our failure to enforce any provision is not a waiver of that or any other provision.
  • Assignment. You may not assign or transfer these Terms without our prior written consent; we may assign them to an affiliate or in connection with a corporate transaction.
  • Force majeure. Neither party is liable for delay or failure caused by events outside its reasonable control, including acts of God, war, terrorism, civil unrest, labor disputes, governmental action, internet or utility outages, and infrastructure failures of upstream providers.
  • No agency. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Furonto. Furonto is not a party to the transaction between a Customer and a Business.
  • Notices to you may be given by email to the address associated with your account or by posting in the Service or Business portal.
  • Headings are for convenience only and do not affect interpretation.
  • Translations. These Terms are written in English. Any translation is provided for convenience only; the English version controls in case of conflict.
